Terms Of Service

These Terms of Service ("Terms") govern access to and use of the TalkRight website, product demos, and the TalkRight healthcare communication platform, including the EVA AI receptionist, AI call center, dashboards, reporting, messaging workflows, and integrations (together, the "Services"). By accessing the website or using the Services, you agree to these Terms.

The TalkRight website and demos are provided for general informational purposes. Specific customer rights and obligations are governed by the signed order form, proposal, master services agreement, or other commercial agreement entered into with TalkRight ("Customer Agreement"). In the event of any conflict between these Terms and a signed Customer Agreement, the Customer Agreement controls for that customer.

Service Scope

TalkRight provides communication workflow software. The Services may support call routing, live transcription, receptionist guidance, autonomous call handling, appointment-related communication, messaging, and operational reporting.

TalkRight is not an emergency service, medical device, diagnosis platform, or electronic health record. The Services must not be relied upon for emergency, urgent care, or life-threatening situations. Healthcare providers remain responsible for clinical judgment, patient care, appointment confirmation, and compliance with their own regulatory obligations.

Accounts And Security

Customers and their authorized users are responsible for maintaining the confidentiality of accounts, credentials, API keys, and tokens, for all activity under their accounts, and for promptly notifying TalkRight of any suspected unauthorized use or security incident affecting access to the Services.

Customer Configuration And Responsibilities

Customers are responsible for:

  • ensuring they have the authority and rights to use the Services for their clinic or healthcare organization;
  • configuring users, roles, phone numbers, routing modes, scripts, prompts, escalation rules, integrations, and other settings;
  • providing required notices and obtaining required consents from patients, staff, and other end users (including for recording, transcription, messaging, AI-assisted workflows, and any cross-channel communications);
  • verifying appointment bookings, cancellations, reschedules, and clinical instructions before relying on them;
  • maintaining their own electronic health record and other official medical record systems;
  • ensuring staff use the Services appropriately and in accordance with the Customer Agreement and applicable law.

AI-Assisted Workflows

The Services may provide AI-assisted features, including transcripts, summaries, intent detection, suggested actions, classifications, and autonomous call and messaging workflows. AI outputs are generated automatically and may contain errors, omissions, or inaccuracies. Customers are responsible for reviewing AI outputs where appropriate before acting on them. AI outputs are not medical advice, clinical decisions, or substitutes for professional clinical judgment.

Intellectual Property

TalkRight and its licensors retain all rights, title, and interest in and to the Services, including the website, software, documentation, branding, models, configurations, designs, and related intellectual property. No rights are granted other than as expressly stated in these Terms or a signed Customer Agreement. Customers retain rights to their own data and content processed through the Services, subject to the rights granted to TalkRight to operate the Services.

Third-Party Integrations And Dependencies

The Services may interoperate with third-party service providers and customer-selected systems, such as telephony, messaging, email, calendar, EHR, payment, analytics, and AI components. Availability, behavior, fees, and data processing for those third-party services are governed by the relevant provider's own terms. TalkRight is not responsible for the acts, omissions, outages, errors, or content of third-party services or customer systems.

Acceptable Use

Customers and users must not use the Services to send unlawful, harmful, abusive, deceptive, fraudulent, infringing, or unsolicited messages; to harass or harm any person; to attempt to gain unauthorized access to systems or data; to interfere with the integrity, security, or performance of the Services; or to provide clinical instructions, advice, or communications outside the customer's authority and applicable law.

Fees

Fees, usage limits, minute usage, message charges, billing cycles, and payment terms for the Services are defined in the applicable order form or Customer Agreement. Unless otherwise stated in writing, fees are non-refundable and may be updated for future renewal terms in accordance with the Customer Agreement.

Availability And Support

TalkRight aims to provide reliable Services, but does not warrant that the Services will be uninterrupted, error-free, or available at all times. Service may be affected by internet connectivity, telecommunications networks, messaging platforms, third-party providers, planned or emergency maintenance, customer configurations, security events, or force majeure events. Service levels and support, where applicable, are defined in the Customer Agreement.

Disclaimers

To the maximum extent permitted by applicable law, the Services and any related information, content, AI outputs, and recommendations are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. TalkRight does not warrant the accuracy or completeness of AI outputs or that the Services will meet a customer's specific clinical, operational, or regulatory requirements.

Limitation Of Liability

To the maximum extent permitted by applicable law, TalkRight and its affiliates, licensors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings, arising out of or related to the Services or these Terms, even if advised of the possibility of such damages. TalkRight's aggregate liability arising out of or related to the Services or these Terms is limited as set out in the applicable Customer Agreement and, in any event, will not exceed the amounts actually paid by the customer to TalkRight for the Services giving rise to the claim in the twelve (12) months preceding the event giving rise to the liability. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.

Not Responsible For Certain Failures

TalkRight is not responsible for failures, delays, errors, or losses caused by customer systems, customer configurations, customer staff actions, telecommunications networks, messaging platforms, internet connectivity, third-party service providers, integration partners, incorrect or unlawful use of the Services, or events beyond TalkRight's reasonable control (force majeure).

Changes To The Services And Terms

TalkRight may update, modify, or discontinue features of the Services from time to time to improve quality, reflect technical developments, address security, or comply with applicable law. TalkRight may also update these Terms by posting an updated version with a new effective date. Material changes will take effect for continued use of the Services. Customer-specific terms in a signed Customer Agreement will continue to control where they conflict with these Terms.
